Terms of Service

PANDDA is an AI-native business management platform designed for service-based companies. Our Service includes:

• Complete client journey automation from lead to completion
• AI-powered project management and team coordination
• Integrated payment processing and invoicing
• Role-based dashboards and analytics
• Client portal and communication tools

1. Founding Circle Access
The Founding Circle program provides early access to PANDDA starting January 1st, 2026, for a limited group of 2,500 founding members.
2. Founding Circle Terms
• Early Access: 40 days of exclusive access before public launch on February 10th, 2026
• Pricing: $1 for the first 40 days, followed by locked founder pricing for life
• Limited Availability: Only 2,500 spots available
• Locked Rates: Founding members receive guaranteed pricing that will never increase
• Additional Benefits: Product roadmap influence, private community access, and white-glove onboarding
3. Payment Terms
   • Founding Circle enrollment requires a $1 payment processed through Stripe
   • After the initial 40-day period, your account will be billed according to your selected plan at locked founder rates
   • All payments are processed securely through our payment partner, Stripe

• You must provide accurate, complete, and current information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify us immediately of any unauthorized use of your account

• You must be at least 18 years old to use our Service
• You must have the legal authority to enter into these Terms
• Your use of the Service must comply with all applicable laws and regulations

• You are responsible for all activities that occur under your account
• You may not share your account credentials with others
• You may not create multiple accounts to circumvent our terms or policies

You may use PANDDA for legitimate business purposes including:

• Managing client relationships and projects
• Processing payments and invoicing
• Team collaboration and project tracking
• Business analytics and reporting

You may not use our Service to:

• Violate any applicable laws or regulations
• Infringe on intellectual property rights
• Transmit harmful, offensive, or illegal content
• Attempt to gain unauthorized access to our systems
• Use the Service for any fraudulent or deceptive practices
• Compete directly with PANDDA using our own platform
• Reverse engineer, decompile, or attempt to extract our source code

• You are responsible for all content you upload or create using our Service
• Content must not violate any laws or third-party rights
• We reserve the right to remove content that violates these Terms

• You retain ownership of all data you input into the Service
• We process your data according to our Privacy Policy
• You grant us a license to use your data solely to provide the Service

• We implement industry-standard security measures to protect your data
• We cannot guarantee absolute security but will notify you of any breaches
• You are responsible for maintaining backups of critical data

• You may export your data at any time in standard formats
• Upon account termination, we will provide data export for 30 days
• After 30 days, data may be permanently deleted

• Pricing is based on team size and features selected
• Founding Circle members receive locked lifetime pricing
• Public launch customers pay standard rates (subject to change with notice)

• All payments are processed through Stripe
• You authorize us to charge your payment method for applicable fees
• Failed payments may result in service suspension

• Founding Circle: Full refund available within the first 40 days
• Standard subscriptions: Refunds processed according to our refund policy
• Refunds are processed through the original payment method

• Founding Circle pricing is locked and will never increase
• Standard pricing may change with 30 days written notice
• Continued use after price changes constitutes acceptance

• We strive for 99.9% uptime but cannot guarantee uninterrupted service
• Maintenance windows will be scheduled during off-peak hours when possible
• We are not liable for service interruptions beyond our reasonable control

• We may modify, update, or discontinue features of the Service
• Founding Circle members will have input on major feature changes
• We will provide reasonable notice of significant changes

• Some features may be provided in beta or preview status
• Beta features are provided "as is" without warranties
• Beta features may be modified or removed without notice

• You may terminate your account at any time through account settings
• Termination does not relieve you of payment obligations for services already provided
• You may export your data for 30 days after termination

We may terminate your account if you:

• Violate these Terms or our Acceptable Use Policy
• Fail to pay required fees after notice and opportunity to cure
• Use the Service in a way that could harm PANDDA or other users

• Upon termination, your right to use the Service ends immediately
• We will delete your data after the 30-day export period
• Sections of these Terms that should survive termination will remain in effect

• The Service is provided "as is" without warranties of any kind
• We do not warrant that the Service will be error-free or uninterrupted
• You use the Service at your own risk

• AI features are provided for assistance and convenience
• AI-generated content should be reviewed before use
• We are not responsible for decisions made based on AI recommendations

• Our liability is limited to the amount you paid for the Service in the 12 months preceding the claim
• We are not liable for indirect, incidental, or consequential damages
• Some jurisdictions do not allow liability limitations, so these may not apply to you

You agree to indemnify and hold PANDDA harmless from any claims, damages, or expenses arising from:

• Your use of the Service
• Your violation of these Terms
• Your infringement of third-party rights
• Content you upload or create using the Service

These Terms are governed by the laws of the Czech Republic, without regard to conflict of law principles.

• Direct Negotiation: Contact hello@pandda.com to resolve disputes informally
• Mediation: If direct negotiation fails, disputes will be resolved through mediation
• Arbitration: Unresolved disputes will be settled through binding arbitration
• Courts: Czech courts have exclusive jurisdiction for any matters not subject to arbitration

You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PANDDA.

If any provision of these Terms is found invalid, the remaining provisions will continue in full force.

Our failure to enforce any provision does not constitute a waiver of future enforcement.

We may assign these Terms in connection with a merger, acquisition, or sale of assets. You may not assign your rights without our written consent.

• Continued use after changes constitutes acceptance
• Founding Circle members will be notified of any changes affecting their benefits
